Qualifications

Position: Paralegal Consultant

Location: Washington DC

Duration: 6+ Months

Job Purpose:

Under the guidance of the Vice President Corporate Secretary, provides project management for financing activities, coordinates Board of Director meeting preparations, monitors compliance with statutory obligations, and prepares regulatory and stock exchange filings.

Requirements:

• Experience performing complex administrative duties for senior management with minimal supervision.
• Experience with meetings of the Board of Directors and Committees: preparing resolutions, minutes, notices, meeting materials, agendas, and assisting with presentations.
• Experience monitoring SEC, FERC, and NYSE compliance, including filing documents and reporting to exchanges.
• Experience with accounting functions such as creating payment authorizations and reviewing charges.
• Experience tracking shareholdings and assisting with SEC Section 16 filings.
• Experience developing documents for SEC filings and financings, including Supplemental Indentures.
• Assisting with the coordination of an Annual Shareholders Meeting, including scheduling, preparing scripts, and managing SEC documents.
• Preparing due diligence materials, closing checklists, and documents for corporate transactions.
• Proficiency in PC-based software: word processing, spreadsheets, presentations, databases, and email.
• Ability to work independently.
• Must pass qualification test.
